X-Series Warranty Indemnity

TERMS AND CONDITIONS

1 DEFINITIONS

In this Warranty and Indemnity:

(a) " Bladerider " means Bladerider Limited, a company incorporated in accordance with the laws of Hong Kong;
(b) " Boat " means the Boat Structure and Boat Parts as delivered and not previous owned or used by another party;
(c) " Boat Parts " means all parts of the boat as delivered other than the Boat Structure;
(d) " Boat Structure " means the hull and wing frame;
(e) " Buyer " means the party that has purchased the Boat;
(f) " Contract " means the Contract between the Seller and the Buyer for the sale of the Boat;
(g) " Reasonable Use " means use in compliance with all of the following directions;

(i) the Boat should be used carefully and responsibly at all times;
(ii) the Boat should not be used if the user is unfit, unwell, intoxicated or otherwise not in a physical or mental condition reasonably appropriate for sailing;
(iii) the Boat should not be used in winds greater than 25 knots;
(iv) the Boat should not be made to carry an on-board weight (including the operator) over 90kg (this means the sailor must be under 90kg fully clothed);
(v) the Boat should not be allowed to hit an underwater object, sand-bar, reef or land formation;
(vi) the Boat must be dismounted in 1.5m depth of water and not allowed to be beached;
(vii) the Boat should not be used when there appears to be a problem with some part of the boat;
(vii) the Boat should not be used if any person has identifies a problem with some part of the boat;
(ix) people and other heavy objects should not be placed or rested on the side of the hull;
(x) the Boat and Boat Parts should only be used in conjunction with parts and material approved by Bladerider;
(xi) the Boat and Boat Parts should not be used other than in compliance with the applicable:

i. laws, including maritime laws, by-laws, regulations and rule of all kinds;
ii. Bladerider Assembly, Rigging and Sailing Instructions;
iii. Bladerider Troubleshooting Guide;
iv. Bladerider Setup and Maintenance Guide;

(h) " Seller " means the Bladerider or a Bladerider authorized reseller that sold the Boat to the Buyer;
(i) " Warranty " means this Warranty and Indemnity;

    • " Warranty Period " means 24 months commencing on the Start Date.
    • " Start Date " means the date the Boat is delivered to the Buyer.

2 WARRANTY

2.1 General

2.1.1 The Warranty forms part of the Contract.

  • The Warranty expires at the end of the Warranty Period.
  • The Buyer must provide proof of delivered by providing copies of shipping documents otherwise the Start Date is the date this Warranty was accepted on-line at Bladerider's web site.

2.1.4 The Seller warrants to the Buyer that the Boat Parts will be free from defects in materials and workmanship for the Warranty Period.

2.1.5 Notwithstanding anything in the Warranty, the Buyer acknowledges and agrees that:

(a) Boat Parts may require repair or replacement due to wear and tear in accordance with the table in Schedule 1 before the end of the Warranty Period; and
(b) neither the Seller nor Bladerider are obliged to repair or replace a Boat Part or compensate the Buyer in relation to a Boat Part that requires replacement from wear and tear in accordance with the table in Schedule 1.

2.1.6 The Seller's and Bladerider's liability to the Buyer in relation to any Warranty claim made by the Buyer is limited to the price paid for the Boat.

2.1.7 Any warranty contained in the Warranty is non-transferable.

2.1.8 Any repair or replacement under this Warranty of the Boat does not extend the Warranty Period.

2.2 Defects

2.2.1 The Buyer must immediately upon receipt of the Boat undertake a full inspection of the Boat for any defects.

2.2.2 If at any time the Buyer reasonably believes that the Boat contains a defect, the Buyer must as soon as practicable:

(a) cease further use of the Boat;
(b) notify the Seller of the purported defect in the Boat;
(c) deliver the Boat or Boat Parts to Bladerider (or an authorised depot, as directed by the Seller) in accordance with the warranty claim instructions as published by Bladerider on its website from time to time; and
(d) pay all the reasonable transportation costs of delivering the Boat or Boat Parts to and from Bladerider.

2.2.3 Subject to the Buyer having fully complied with clause 2.2.2, if any part of the Boat is defective the Seller must procure, in its discretion, either the repair or replacement of the defective part of the Boat.

2.3 Warranty limitations

2.3.1 Notwithstanding anything in the Warranty, the Seller is not obliged to procure repair or replacement and the Buyer is not entitled to compensation from the Seller or Bladerider in relation to a defect in the Boat if the Buyer:

(a) fails to fully comply with clause 2.2.2;
(b) fails to promptly discover a defect which the Buyer ought reasonably to have discovered; or
(c) allows or permits repairs or modifications or any other changes to the Boat by a party other than the Seller or Bladerider or a party appointed by or approved in writing by the Seller or Bladerider.

2.3.2 Notwithstanding anything in the Warranty, neither the Seller nor Bladerider is liable to the Buyer in relation to damage to the Boat caused by:

(a) wear and tear;
(b) accident;
(c) vandalism;
(d) neglect;
(e) improper or negligent set-up, installation, transport, repair or maintenance of the Boat;
(f) repair, modifications or any other changes to the Boat by a party other than the Seller or Bladerider or a party appointed by or approved in writing by the Seller or Bladerider; or
(g) use of the Boat other than Reasonable Use.

3 INDEMNITY

Neither the Seller nor Bladerider is liable to the Buyer for, and the Buyer agrees to fully indemnify the Seller and Bladerider in relation to, loss or damage to any person or property from use of the Boat caused by:

(a) accident;
(b) improper or negligent set-up, installation, packing, transport, repair or maintenance of the Boat;
(c) repair, modifications or any other changes to the Boat by a party other than the Seller or Bladerider or a party appointed by or approved in writing by the Seller or Bladerider; or
(d) use of the Boat other than Reasonable Use.

4 LIMITED LIABILITY

Save as expressly provided in clauses 2 and 3 the Seller nor Bladerider shall have no liability whatsoever to the Buyer for any indirect, special, consequential or incidental loss or damage of any kind suffered or incurred by the Buyer howsoever caused or arising, whether from breach or non-performance of any of its obligations under the Contract or from the supply, installation, performance, operations or use of the Boat.

5 ACKNOWLEDGEMENTS

The Buyer acknowledges that prior to using the Boat, and in order to have the benefit of this Warranty, the Buyer must read and comply with these documents:

SCHEDULE 1 - EXPECTED LIFE-SPAN OF BOAT PARTS WITHIN WARRANTY PERIOD

These parts may require repair and replacement by the Buyer within the Warranty Period based on the amount of use.
